Terms & Conditions for Proto Eggs Partners
Please read these terms and conditions carefully before becoming a partner with Proto Eggs. By partnering with Proto Eggs, you agree to be bound by these terms and conditions. If you do not agree with any part of these terms, please refrain from partnering with Proto Eggs.
Partner Responsibilities:
- As a partner, you agree to promote and sell Proto Eggs in accordance with the agreed-upon terms and conditions.
- You are responsible for maintaining accurate product information, pricing, and inventory levels for Proto Eggs.
- You will comply with all applicable laws, regulations, and industry standards related to the sale and distribution of Proto Eggs.
Marketing and Promotion:
- Proto Eggs will provide marketing materials and support to assist partners in promoting and selling the products.
- Partners may use the provided marketing materials and Proto Eggs branding in their promotional activities with prior approval from Proto Eggs.
Ordering and Payment:
- Partners can place orders for Proto Eggs as per the agreed-upon ordering process.
- Payment terms will be established between Proto Eggs and the partner, outlining the payment methods, invoicing, and payment schedules.
Product Distribution and Delivery:
- Proto Eggs will coordinate the distribution and delivery of products to partners based on mutually agreed terms.
- Partners are responsible for ensuring proper storage conditions and compliance with any applicable health and safety regulations for storing and handling Proto Eggs.
Intellectual Property:
- All intellectual property, including trademarks, logos, and marketing materials provided by Proto Eggs, shall remain the property of Proto Eggs. Partners may use these materials solely for the purpose of promoting and selling Proto Eggs.
Confidentiality:
- Partners agree to keep any confidential information shared by Proto Eggs confidential and not disclose it to third parties without prior written consent from Proto Eggs.
Termination:
- Either party may terminate the partnership with written notice if the other party breaches any material terms of this agreement or fails to fulfill their obligations as outlined.
Limitation of Liability:
- Proto Eggs shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or related to the partnership, including but not limited to product defects, delays, or losses.
Governing Law:
- These terms and conditions shall be governed by and construed in accordance with Indian Partnership Acts. Any disputes arising from or in connection with this partnership shall be subject to the exclusive Indian Partnership Act.
